Job Overview:
A dynamic and nationally recognized law firm in the Minneapolis area is seeking an experienced Corporate Associate Attorney to join its team. The ideal candidate will have 8+ years of experience in corporate transactional law, including mergers and acquisitions, corporate finance, and tax planning. Location:

Duties:

  • Lead and manage complex corporate transactions, including mergers & acquisitions, private placements, financing transactions, and corporate restructuring
  • Draft, negotiate, and close transaction documents
  • Work closely with clients on matters relating to corporate governance, entity formation, and structuring of growth-stage businesses
  • Collaborate with team members, legal assistants, and paralegals to delegate work and ensure timely completion of projects
  • Review documents for accuracy and ensure they are thoroughly prepared for client execution
  • Provide legal advice and guidance on tax, real estate, litigation, intellectual property, and estate planning matters when needed
  • Contribute to the professional development and growth of the firm
  • Manage client relationships and provide proactive client service
  • Meet billable hour requirements (1,800 hours per year)

Requirements:

  • 8+ years of sophisticated corporate transactional experience at a reputable law firm
  • Experience in mergers & acquisitions, growth-stage entity representation, private equity, and financing transactions
  • Ability to work in a multi-disciplinary environment, leveraging finance and tax knowledge in addition to legal expertise
  • Exceptional written and verbal communication skills
  • Self-starter with strong problem-solving abilities and the ability to manage multiple projects
  • Ability to review and ensure accuracy in legal documents
  • Proven experience working collaboratively with senior partners and clients
  • Strong sense of accountability and the ability to independently drive projects forward
  • Billable hour requirement of 1,800 hours per year

Education:

  • Bachelor's degree
  • Juris Doctor (.) from an accredited law school

Certifications:

  • Active license to practice law in the state (or eligibility)
  • Additional consideration for candidates with CPA, MBA, or similar professional credentials

Skills:

  • Expertise in corporate transactional law, mergers & acquisitions, and corporate finance
  • Strong knowledge of tax, real estate, and business structuring
  • Excellent drafting, negotiation, and legal document review skills
  • Strong communication skills, both written and verbal
  • Collaborative, team-oriented attitude with the ability to manage client relationships
  • Ability to make sound decisions based on legal analysis and client objectives
  • Exceptional time management and organizational skills
