A prestigious law firm is seeking a mid-level corporate associate to join its offices in Washington, . This role involves working in public company reporting and compliance, corporate governance, and capital markets. The associate will work closely with public companies, providing legal counsel and support in these specialized areas. This position presents an opportunity to be part of a dynamic and growing securities practice within a firm known for serving clients in life sciences, technology, and digital assets.

Location

Duties

  • Advise clients on public company reporting and compliance matters.

  • Provide counsel on corporate governance and securities law compliance.

  • Assist with capital markets transactions, including public offerings and private placements.

  • Draft and review periodic reports, proxy statements, and Section 13 and 16 filings.

  • Ensure compliance with the Securities Act of 1933 and the Securities Exchange Act of 1934.

  • Provide guidance on Nasdaq and New York Stock Exchange listing requirements.

  • Collaborate with internal teams and external stakeholders on corporate legal matters.

  • Conduct legal research and analysis on securities regulations.

Requirements

  • Minimum of 3 years of experience in capital markets law.

  • Experience working with large-cap and mid-cap public companies.

  • Strong knowledge of the Securities Act of 1933 and the Securities Exchange Act of 1934.

  • Familiarity with Nasdaq and NYSE listing and governance requirements.

  • Prior experience at an AmLaw 100 law firm is preferred.

Education

  • Juris Doctor (JD) degree.

Certifications

  • Licensed to practice law in the applicable jurisdiction.
