BakerHostetler, a leading national law firm, is seeking a mid-level Associate with 4-7 years of experience to join our Business Group in the Capital Markets & Securities and Corporate Governance practice team. This is an exciting opportunity to work with regional and national clients in a collaborative cross-office team environment. The ideal candidate will have knowledge of federal securities laws, rules and regulations and listing standards, as well as experience with various securities filings and transactions. In addition, the candidate should possess strong writing and communication skills, as well as the ability to manage a fast-paced workload while maintaining priorities and anticipating issues.

Key Responsibilities:

- Assist with maintaining governance policies and practices, including committee charters, corporate governance guidelines, and insider trading policies
- Prepare and review various securities filings, including Forms 8-K, 10-Q, and 10-K, registration statements, and Section 16 filings
- Provide securities support for mergers and acquisitions, strategic investments, and other corporate transactions
- Knowledge of annual shareholder meeting requirements and mechanics
- Experience in public and private securities offerings

Qualifications:

- 4-7 years of experience in capital markets and securities, preferably with a national law firm
- Admission to practice law in the state where the candidate will reside
- Strong knowledge of federal securities laws, rules and regulations, and listing standards
- Excellent writing and communication skills
- Ability to manage a fast-paced workload and prioritize tasks effectively
- Professional commitment and interpersonal skills to succeed in a collaborative team environment
