The ideal candidate will be deeply involved in sponsor-side private equity fund formation, working closely with senior attorneys on complex and high-profile matters. Duties:

  • Assist in the formation and structuring of private equity funds, including drafting and negotiating fund documents
  • Collaborate with senior attorneys on a variety of sophisticated transactions, ensuring compliance with regulatory requirements
  • Advise clients on fund formation, investor relations, and investment structuring
  • Conduct legal research and analysis related to investment fund operations, including regulatory issues
  • Manage multiple projects simultaneously, ensuring timely delivery of high-quality legal services
  • Develop and maintain strong client relationships, contributing to business development efforts
  • Provide mentorship and guidance to junior associates and legal staff

Requirements:

  • 4-7 years of relevant experience in corporate law, with a focus on investment funds or private equity
  • Strong understanding of private equity fund formation, including fund documentation, structure, and regulatory compliance
  • Proven ability to handle complex transactions and provide strategic legal counsel
  • Excellent research, writing, and communication skills

Education:

  • Juris Doctor (JD) from an accredited law school

Certifications:

  • Admission to the Bar in Washington, DC (or eligible for admission)
