Job Summary: The successful applicant must have experience relevant to advising publicly traded companies with respect to securities offerings (debt and equity), federal securities laws, stock exchange, Sarbanes Oxley Act, Dodd-Frank Act regulatory and compliance matters, and corporate governance matters. New York bar membership desired. Salary Range: For positions in NY/CA, the salary wage range for this job posting is $215,000 to $415,000. The base salary or hourly wage range for this position will be determined during the interview process and will vary based on multiple factors, including but not limited to prior experience, relevant expertise, current business needs, and market factors. Final salary or hourly wages offered may be outside of this range based on other reasons and individual circumstances. Additionally, salary or hourly wages may be only part of the total compensation package. Job Responsibilities: • Provide legal advice to publicly traded companies with respect to securities offerings (debt and equity), federal securities laws, stock exchange, Sarbanes Oxley Act, Dodd-Frank Act regulatory and compliance matters, and corporate governance matters. • Advise publicly traded companies regarding their corporate governance structures. • Prepare legal documents related to corporate transactions, securities offerings, stock exchange listings, and corporate governance matters. • Analyze and interpret relevant laws, regulations, and court decisions. • Assist with research related to legal issues. • Ensure compliance with applicable laws and regulations. • Develop and maintain relationships with clients. • Represent the firm in court proceedings, when necessary. Qualifications: • Juris Doctor (JD) degree from an accredited law school. • Admission to the bar in New York. • Minimum of 3 years of large law firm experience. • Excellent academic credentials. • Strong research, analytical, and problem-solving skills. • Excellent communication and interpersonal skills. • Ability to work independently and as part of a team.
