Providence office of a BCG Attorney Search Top Ranked Law Firm seeks a corporate lawyer with 5+ years of corporate legal experience. The candidate will draft documentation for various corporate transactions, including financings, acquisitions, dispositions, and real estate. Draft resolutions, votes, certificates, and other corporate documents, review contracts, and provide correspondence to clients and other appropriate parties. Assist with closings and preparation for client meetings. Coordinate the legal due diligence process and create and monitor the electronic data room. Prepare and submit UCC filings, Secretary of State filings, and other corporate governance matters. Make initial drafts of estate planning documents. Make initial drafts of conveyance documents. Assistance in managing deposits, payments to insurance companies, Crummey notices, etc. Assist in all other duties as assigned. Must have a current license to practice law in Rhode Island. Massachusetts and Connecticut Bar admissions would be a plus.
