Mid-Level Corporate M&A Associate

Experience Information:
4-5 years of substantive experience in private M&A transactions

Job Description:

- Looking for a mid-level associate with significant M&A experience to join our Houston office
- Handling smaller deals with limited supervision and leading larger deals with direct partner supervision
- Drafting and negotiating partnership/LLC agreements and other organizational documents
- Additional experience in fund work and public M&A is a plus

Responsibilities:

- Conduct due diligence and draft transactional documents for private M&A transactions
- Negotiate deal terms and assist with deal closings
- Advise clients on legal and business issues related to M&A transactions
- Work with partners and senior associates on larger transactions
- Handle smaller transactions with limited supervision
- Draft and negotiate partnership/LLC agreements and other organizational documents
- Assist with fund work, including primary fund offerings and secondary fund transfers
- Provide support on public M&A transactions, if applicable

Qualifications:

- 4-5 years of substantive experience in private M&A transactions
- Experience handling M&A for Private Equity clients is preferred
- Strong drafting and negotiating skills
- Familiarity with partnership/LLC agreements and other organizational documents
- Experience with fund work and public M&A is a plus, but not required
- Excellent communication and interpersonal skills
- Ability to work independently and as part of a team
- Juris Doctor degree from an accredited law school
- Admission to the Texas bar or willingness to become admitted
