**Morgan Lewis Investment Management Registered Funds Midlevel Associate**

Morgan Lewis, a leading law firm, is looking for a midlevel associate with law firm, SEC or industry experience to join its Investment Management practice in Philadelphia. The successful applicant must have a strong knowledge of the Investment Company Act of 1940 and the Investment Advisers Act of 1940.

**Key Responsibilities**

The successful candidate will be expected to:

* Advise clients on registered fund structures like mutual funds, ETFs, and closed-end funds.
* Understand other federal securities laws and SRO rules, as well as broker-dealer regulatory issues, and private funds.
* Counsel clients on a range of investment management issues, including portfolio management, fund formation, distribution, and compliance.
* Draft and review fund documents, such as registration statements, offering documents, and board resolutions.
* Provide advice on regulatory matters, including compliance with federal and state laws and regulations.
* Assist with the preparation of regulatory filings and applications.
* Participate in client meetings and other business development activities.

**Qualifications**

The successful candidate must have:

* A law degree from an accredited law school and be admitted to practice law in at least one jurisdiction.
* At least 3 years of experience in a law firm or the SEC.
* A strong knowledge of the Investment Company Act of 1940 and the Investment Advisers Act of 1940.
* Excellent research, writing, and communications skills.
* The ability to work effectively with attorneys, clients, and other professionals.
