Job Description:

- Advise clients on legal, regulatory, and business issues related to mergers and acquisitions and other corporate transactions
- Conduct research on legal risks and draft primary deal documents, including purchase and sale agreements, merger agreements, and credit agreements
- Negotiate provisions in deal documents and lead calls with opposing counsel
- Develop and recommend legal strategy and positions on legal issues
- Coordinate with subject matter experts on key regulatory and compliance issues
- Lead due diligence workstreams and review ancillary corporate formation and transaction agreements
- Assist with pro bono legal assignments
- Participate in firm activities and committees

- Experience in domestic and multijurisdictional mergers and acquisitions and private equity transactions

- Telecommuting is permitted within commuting distance of the worksite 50% of the time
