Latham & Watkins LLP, a leading international law firm, is seeking experienced associates with a minimum of 2 years of private credit, acquisition finance, or leveraged finance experience to join our dynamic and growing Private Equity Practice. With offices in major cities across the United States, including Boston, Century City, Chicago, Los Angeles, New York, and Washington, ., our team offers a supportive and collaborative environment for associates to thrive and expand their skills.

As a mid-level associate in our Private Equity Practice, you will have the opportunity to work on cutting-edge transactions for a diverse range of clients, including corporate borrowers, private equity sponsors, and their portfolio companies. Our practice handles a high volume of mid-cap and top-tier deals, providing associates with a challenging and rewarding experience.

To be considered for this position, we are looking for candidates with a minimum of 2 years of experience in private credit, acquisition finance, or leveraged finance. We have a strong preference for candidates with experience working with private equity sponsors, but we also welcome candidates with general company-side representation experience.

Responsibilities:

- Representing borrowers in private credit, acquisition finance, and leveraged finance transactions
- Collaborating with a team of attorneys to manage and execute complex transactions
- Conducting legal research and providing legal advice to clients
- Drafting and negotiating transaction documents, including credit agreements, security documents, and intercreditor agreements
- Assisting with due diligence and managing deal closings

Requirements:

- Minimum of 2 years of experience in private credit, acquisition finance, or leveraged finance
- Strong academic credentials from a top law school
- Admission to the state bar in which you are applying
- Excellent written and verbal communication skills
- Ability to work independently and as part of a team in a fast-paced environment
