Job Overview:
A prominent law firm is seeking a motivated Junior Project Finance Associate to join its dynamic team in the Financial Services Practice. The ideal candidate will possess 2-3 years of experience in project finance, with exposure to various financings such as tax equity bridge loans, backleverage financings, and pre-NTP financings. This position offers an excellent opportunity for professional development in a collaborative and entrepreneurial work environment.

Duties:

  • Draft and negotiate credit facilities, depositary account agreements, letters of credit, and performance and payment bonds.
  • Prepare and review the balance of plant agreements, supply agreements (including transformer, module, BESS, turbine, and inverter supply agreements), and offtake and tolling agreements.
  • Draft and close security documents, including security agreements, pledge agreements, financing statements, and control agreements.
  • Prepare NY-law legal opinions, direct agreements, consents to collateral assignments, and reliance letters.
  • Conduct due diligence and prepare bankability analyses on project documents.
  • Provide legal support in various project finance transactions for both lenders and borrowers.

Requirements:

  • 2-3 years of experience in project finance, with familiarity in both lender- and borrower-side transactions.
  • Proficiency in drafting LSTA credit agreements and New York law-governed security documents.
  • Experience with project documents such as EPC contracts, offtake agreements, supply agreements, and reliance letters.
  • Ability to work independently as well as collaboratively in a fast-paced environment.
  • Strong attention to detail and problem-solving skills.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to the bar in Austin, TX, or eligibility to become licensed in the jurisdiction.
