Mergers and Acquisitions – Corporate Partner

Job Overview:
A well-regarded law firm in Uniondale, NY is expanding its transactional practice and seeking a seasoned legal partner to join its Mergers & Acquisitions and Private Equity group. This leadership-level role is geared toward an attorney with a portable book of business and the experience to manage complex deals involving buyers, sellers, and investors. The selected individual will collaborate with a dynamic team and interface directly with key stakeholders across various sectors and investment strategies.

Duties:

  • Represent clients in a variety of corporate transactions, particularly mergers, acquisitions, divestitures, and joint ventures

  • Advise private equity firms, family offices, and independent sponsors on structuring, negotiating, and closing investment deals

  • Manage capital raises, fund formation, and related entity structuring

  • Draft, negotiate, and review key transactional documents, including purchase agreements, operating agreements, and investor documentation

  • Provide ongoing legal guidance on governance, compliance, and corporate operations

  • Serve as a trusted advisor to business executives, founders, sponsors, and other stakeholders

  • Oversee junior attorneys and manage deal teams in fast-paced environments

  • Contribute to business development and client relationship management initiatives

Requirements:

  • Minimum of 7 years of experience in corporate law, specifically in mergers & acquisitions and private equity transactions

  • Established portable book of business of at least $500,000

  • Deep understanding of transaction structures, financing arrangements, and due diligence processes

  • Proven track record managing complex legal matters independently and collaboratively

  • Strong drafting, communication, and client-facing skills

  • Familiarity with fund formation or structured finance is advantageous but not mandatory

  • Must be admitted to practice in New York; admission in New Jersey is beneficial

Education:

  • Juris Doctor (.) from an accredited . law school

Certifications:

  • Active and good standing with the New York State Bar

  • Additional bar memberships, such as New Jersey, are a plus

Skills:

  • Exceptional attention to detail and ability to manage concurrent transactions

  • Business-minded approach with the ability to align legal advice with strategic goals

  • Superior negotiation, analytical, and interpersonal skills

  • High proficiency in corporate drafting and transactional documentation

  • Ability to lead and mentor legal teams in a collaborative setting
