Job Overview:
A well-established law firm in Chicago, IL, is seeking a talented Corporate Associate to join its dynamic Investment Services group. This is an excellent opportunity to be part of a multidisciplinary team with a broad-based client portfolio that includes registered funds, investment advisers, and private funds. The position offers significant exposure to high-impact transactional and regulatory work, with a strong emphasis on professional development and client-facing responsibilities.
Duties:
Provide legal support on matters related to the Investment Company Act of 1940, the Securities Act of 1933, and other federal securities laws
Advise on formation, registration, and compliance for investment companies and investment advisers
Support transactional activity, including fund reorganizations and mergers involving regulated entities
Draft and review offering documents, compliance manuals, contracts, and regulatory filings
Interface directly with clients to address regulatory, governance, and business development matters
Collaborate closely with senior attorneys on cross-functional projects
Manage multiple client matters efficiently and with attention to detail
Requirements:
1 to 4 years of relevant corporate or securities experience within a law firm environment
Demonstrated background in registered funds and investment management compliance matters
Familiarity with private funds, adviser registration, and regulatory frameworks
Experience with transactional work involving investment companies is preferred
Ability to handle multiple priorities and meet tight deadlines
Education:
Juris Doctor (.) from an accredited law school
Strong academic performance
Certifications:
Admission to the Illinois Bar or eligibility to become admitted promptly (for candidates in Chicago)
Good standing in the current jurisdiction of admission
Skills:
Deep understanding of federal securities regulations and investment industry practices
Excellent drafting, analytical, and communication skills
Business judgment with the ability to advise sophisticated clients
Collaborative mindset with initiative and professionalism
Strong organizational and time management capabilities
