Job Title: Commercial Counsel

Job Responsibilities:
- Review, draft, and manage a variety of agreements including technology licenses, intellectual property agreements, SaaS/cloud agreements, partnership and vendor agreements, services agreements, statements of work, terms of service, end-user agreements, and data processing agreements (DPAs).
- Support the continuous improvement of standard form agreements and legal processes.
- Drive technological solutions for handling legal workflows.
- Advise cross-functional stakeholders on a wide range of legal issues, including risks, approval processes, company policies and procedures, intellectual property, GDPR and other privacy and regulatory compliance, business strategy in commercial transactions, product development, and day-to-day business operations.
- Respond promptly to legal requests from various departments such as Sales, Finance, Products, Business Development, Marketing, and Human Resources, summarizing and communicating legal concepts in an understandable manner for business implementation.
- Provide counsel on evolving EU data protection and privacy regulations and best practices, including GDPR and DPAs.
- Manage agreements in compliance with company policies and risk tolerance.

Education and Experience Information:
- Minimum of 10 years of in-house experience in technology licensing or transactional law within a SaaS, Network Security, or Cybersecurity company.
- Familiarity with network security, cloud computing, SaaS, business associate agreements, professional services, and privacy law.
- Background in drafting and negotiating service agreements, sales contracts, licenses, alliance agreements, and intellectual property agreements.
- Demonstrated experience advising clients in structuring complex domestic and international transactions.
- Expertise in GDPR and other domestic and international data protection and privacy regulations.
- Product counseling and compliance experience.
- Qualified and in good standing or otherwise authorized to practice law, such as having registered in-house status in the state of residence.
- Experience with government contracting, compliance, and flow-down requirements.
- JD degree or equivalent degree.

Salary Information:
- The typical base salary range for this position in California and New York is $170,000 - $210,100, plus a corporate bonus.
