Job Overview: A law firm is seeking an Associate Attorney to join its growing Business and Tax Practice. This position is available in both the Grand Rapids and Lansing offices, with a hybrid work policy available after a successful period of in-person training. The successful candidate will support senior attorneys in handling corporate and tax matters, including contract drafting, business and tax planning, compliance, and transactional support. The role requires a strong understanding of business law and tax regulations, as well as the ability to research and analyze complex legal issues.

Duties:
Assist in providing strategic legal advice on business formation, structuring, mergers and acquisitions, joint ventures, and other corporate transactions.
Conduct in-depth client research and prepare client memos on business and tax topics.
Draft and review various business contracts, including operating agreements, shareholder agreements, employment contracts, vendor agreements, and lease agreements.
Advise clients on tax compliance issues, including tax audits and disputes.
Communicate complex information to stakeholders with varying levels of expertise in an accessible and clear manner.
Stay updated on changes in tax laws and regulations.
Manage legal matters from inception to completion, including client communication, coordination with internal team members, and interactions with opposing counsel.
Deliver exceptional client service while maintaining high professional standards.
Requirements:
Minimum of 3 years of experience in corporate/business law, preferably in a law firm or in-house legal department.
JD from an accredited law school.
Admitted to the State Bar of Michigan and in good standing.
Strong understanding of business law principles, including corporate governance, contracts, and securities regulations.
Knowledge of federal and state tax laws, including corporate tax, individual tax, and partnership tax.
Excellent writing, legal research, communication, and interpersonal skills.
Strong professional judgment with analytical, problem-solving, and decision-making abilities.
Ability to work independently and collaboratively in a team environment.
Strong organizational skills with the ability to manage a busy caseload, work under pressure, meet deadlines, and pay attention to detail.
Proactive, resourceful, and demonstrates a strong work ethic.
Education:
Juris Doctor (JD) from an accredited law school.
Certifications:
Admitted to the State Bar of Michigan and in good standing.
Skills:
Expertise in business law, corporate governance, mergers and acquisitions, tax compliance, and contract drafting.
Knowledge of federal and state tax laws, including corporate, individual, and partnership tax.
Strong research, writing, and communication skills.
Ability to effectively communicate complex legal information to clients and stakeholders.
Ability to work both independently and as part of a collaborative team.
Strong organizational and time-management skills.
