Job Title: Corporate Counsel

Job Responsibilities:
The Corporate Counsel is primarily tasked with providing comprehensive legal advice across the company. This includes, but is not limited to, handling compliance issues, overseeing litigation, managing corporate matters, facilitating commercial transactions, and conducting due diligence on various legal matters. The core responsibilities include:

- Providing legal counsel on corporate matters to ensure the organization adheres to applicable laws and regulations.
- Overseeing outside attorneys who are engaged in litigation matters on behalf of the company.
- Drafting, reviewing, and negotiating various agreements related to contracts, licensing agreements, mergers and acquisitions, and joint venture agreements, while also managing risk.
- Supporting and advising internal stakeholders and leadership on legal and regulatory issues, business strategy, and risk management.
- Conducting due diligence on contracts, documents, agreements, and financial statements to ensure accuracy and compliance.
- Managing and coordinating with external counsel on specific legal matters as needed.
- Providing training and support on corporate governance and compliance matters to the organization.
- Creating and reviewing documents for accuracy, comprehensiveness, and compliance with all regulations.
- Performing research to help anticipate and protect the company from legal risks.
- Undertaking other duties as assigned by the supervisor or leadership team.

Education and Experience Information:
- A Juris Doctor (JD) degree from an accredited law school is required.
- Admission to practice law is necessary.
- The position requires 2-5 years of experience working as an Attorney in either a law firm or a corporate in-house setting.
- A strong understanding of corporate law, compliance, regulations, and business law is essential.
- Excellent written and verbal communication skills are necessary, with the ability to clearly explain complex legal issues.
- Strong attention to detail and excellent analytical skills are required.
- The ability to work both independently and as part of a team is crucial.
- A professional and courteous demeanor is expected.
