Job Title: Associate General Counsel, Legal Department
Job Responsibilities:
The Associate General Counsel is primarily tasked with providing legal advice and support to the company on various forms of commercial and consumer lending. This includes handling commercial and industrial business loans, commercial real estate loans, and specialty equipment finance loans and leases. The role also involves supervisory responsibilities within the Legal Department and providing legal advice on other matters as assigned by the Deputy General Counsel. Key responsibilities include advising sales and operations teams on lending, finance, and leasing; managing proprietary loan and lease documentation templates; advising on consumer and business depository agreements; participating in BSA/AML and Fraud Committee meetings; coordinating litigation and legal responses; managing contract disputes; overseeing responses to subpoenas and other legal processes; acting as Assistant Corporate Secretary for subsidiaries; staying informed on legal and regulatory changes; completing compliance training; and ensuring adherence to applicable laws and regulations.
Education and Experience Information:
Candidates must hold a Bachelor’s degree and a . from an ABA Accredited law school. A minimum of five years of experience is preferred, ideally within a law firm or in-house legal department of a bank or financial services firm. Candidates must either be admitted or agree to obtain admission to practice law in Indiana. Experience with commercial lending, real estate lending, equipment finance lending, and Article 9 of the Uniform Commercial Code is required. Preferred experience includes knowledge of general contract law, corporate law, civil litigation, bank regulatory requirements, and employment law. Proficiency in Microsoft Word and Excel, as well as legal software or systems, is essential.
