Corporate Counsel - Remote:

Job Description:

- Provide legal support for M&A, capital markets transactions, and securities regulations
- Draft, review, and negotiate NDAs for M&A transactions
- Conduct legal due diligence on potential acquisition targets
- Guide team on disclosure and responses to diligence requests for divestiture transactions
- Assist in structuring, executing, and closing M&A transactions
- Provide legal support for various financing matters, including capital markets transactions, commercial paper programs, and banking arrangements
- Assist with preparation of SEC filings and securities regulation related matters
- Support corporate governance matters, including Board and Shareholder meetings
- Oversee subsidiary corporate secretarial matters

Qualifications:

- JD from top-tier accredited law school and admitted to practice in a state and in good standing
- 3-5 years of experience practicing law in a large national law firm in relevant practice areas
- Meticulous attention to detail with strong written and verbal communication skills
- Ability to work within tight deadlines and in a team environment
- Ability to provide clear risk analyses and recommendations

Preferred Qualifications:

- Experience with public company representation
- In-house experience preferred, but not required
- Experience working with industrial and manufacturing companies
