Job Title: Attorney II – Corporate Functions
Job Responsibilities:
This position involves providing legal counsel on matters related to corporate functions, particularly focusing on Employment and Human Resources. The key responsibilities include:
- Reviewing legal documents and interpreting laws and regulations.
- Performing legal research and communicating legal advice to internal partners.
- Directing the work of outside counsel on related matters and coordinating the work of Paralegals or other Legal staff.
- Providing legal counsel on executive compensation and employee benefits matters across the enterprise.
- Offering general legal counsel on compensation, employment, and benefits-related matters, as well as specific advice on products, services, and certain legal actions.
- Drafting, reviewing, and/or negotiating complex legal documents such as regulatory filings, engagement letters, offering documents, and legal opinions.
- Supporting company responses to government agency examinations and investigations, enforcement actions, private complaints, and litigation.
- Training, mentoring, or supporting the development of peers.
Specific duties will include providing legal support related to:
- Employee benefit plans, such as health and welfare plans, qualified and nonqualified retirement plans, and cafeteria plans.
- ERISA governance.
- International and global mobility matters.
- Executive compensation-related disclosures, such as proxy statements.
- HR, compensation, and benefits executives for matters throughout the employee and executive lifecycle.
- Global regulatory compliance for benefits arrangements.
- Fringe benefit and perquisite reporting.
Education and Experience Information:
Required Qualifications:
- Juris Doctor from an ABA-accredited institution.
- Admitted to state bar in good standing.
- 5+ years of experience practicing in the area of compensation and benefits.
- Experience with ERISA and qualified and nonqualified plans.
- Experience with US and international benefit plans.
- Experience with relevant SEC disclosure rules and IRC provisions.
- Ability to work collaboratively on a solutions-focused self-directed team.
- Ability to work effectively with all levels of the organization.
- Strong project management skills.
Desired Qualifications:
- 7+ years of experience practicing in the area of compensation and benefits with a benefits focus.
- Knowledge of benefits issues related to the financial services industry.
- Knowledge of executive compensation issues related to the financial services industry.
- Experience with publicly traded companies.
- International benefits experience.
Minimum Education Requirement: Doctorate degree in related field
