Job Overview:
A well-established law firm is actively seeking a Corporate Finance Associate Attorney with 2 to 6 years of experience in commercial finance transactions. This position offers the opportunity to work on sophisticated middle-market lending matters and represent both borrowers and lenders in secured and unsecured transactions, including cross-border deals. The role requires familiarity with the Uniform Commercial Code and the ability to handle a variety of financing structures. Openings are available in Buffalo, Rochester, or Albany, NY.

Duties:
Represent borrowers and lenders in middle-market commercial finance transactions
Advise clients on secured transactions and UCC compliance
Handle legal aspects of:
Term loans
Letters of credit
Acquisition financing
Draft and negotiate equipment leasing and finance agreements
Manage cross-border credit facility transactions
Collaborate with attorneys across practice areas for integrated client service
Requirements:
2 to 6 years of relevant legal experience in commercial finance
Proven ability to manage transactional matters efficiently
Strong attention to detail and ability to handle complex documentation
Client-focused approach and team collaboration skills
Education:
Juris Doctor (.) from an accredited law school
Certifications:
Admission to the New York State Bar or eligibility to waive in
Skills:
Proficiency in structuring and drafting commercial finance documents
In-depth understanding of the Uniform Commercial Code (especially Article 9)
Excellent legal writing, negotiation, and communication skills
Strong analytical and problem-solving abilities
Ability to manage multiple matters and deadlines simultaneously
