Job Title: Sr Legal Counsel, Upstream & Midstream

Job Responsibilities:
The Sr Legal Counsel, Upstream & Midstream, is tasked with providing legal advice and support to the upstream and midstream operating segments of the company. Key responsibilities include:

- Offering legal counsel on a broad spectrum of business matters, including environmental and safety issues, commercial and supply chain contracts, real estate transactions, claims and disputes, transportation, distribution and logistics support, disclosure and regulatory reporting, government and industry affairs, crisis management, and communications.
- Acting as a strategic partner and leader within the operating segments, providing practical guidance on the legal implications of critical business decisions.
- Reviewing and managing pre-litigation claims and disputes.
- Negotiating proposals, letters of intent, term sheets, conditions, and statements of interest for proposed transactions.
- Providing input on decisions regarding the retention of external counsel and assisting in their management and oversight when retained.
- Advising on environmental, safety, and security requirements, regulatory permitting and compliance, incident response, and privileged investigations, as well as other regulatory matters as needed.
- Drafting and negotiating various agreements, including goods and services agreements, engineering and construction contracts, real estate transactions, NDAs, corporate development, energy, CO2 capture and sequestration, and cogeneration agreements.
- Drafting and negotiating rail, freight, trucking, and other transportation support agreements, advising on transportation regulatory matters, and negotiating warehousing and distribution agreements.
- Providing advice on land matters, including the acquisition/disposition of properties, easements and Right-of-Way agreements, and access agreements.
- Initiating and managing privileged investigations as necessary.
- Contributing legal assistance to the tax group in inter-company agreements and financing, regulatory financial assurance obligations, and other corporate functions as requested.
- Complying with all company standards, policies, and procedures, including the Statement of Core Values and Code of Business Conduct, the Respect in the Workplace Policy, Safety, Health and Environment Policies, and any other applicable standards, policies, and procedures as implemented and/or revised by the company or legislation.

Education and Experience Information:
- Must be an .
- Requires at least 7-10 years of experience in a corporate environment, preferably with a mix of law firm and in-house experience.
- Experience working directly with business executives and operations.
- Ability to provide strategic and practical legal advice to balance both advancing corporate objectives and mitigating risk.
- Skills to manage external counsel and handle multiple and varied legal projects simultaneously.
- Skills and experience in a wide variety of corporate transactions and with environmental and safety compliance, permitting, and incident response and privileged investigations.
- Prior experience in project management.
- Excellent analytical research and documentation writing skills.
- Proficiency in MS Word, WordPerfect, Outlook, and Excel is required; MS Project is preferred.

Salary Information:
The salary range for the Sr Legal Counsel, Upstream & Midstream role is estimated to be between $177,600 and $329,700 annually, specifically in Loveland, Colorado. Actual salary and benefits may vary based on location. The compensation offered to the successful applicant may vary based on factors including experience, skills, education, location, and other job-related reasons. The company also considers internal equity in all pay decisions.
