Job Title: General Counsel & Corporate Secretary
Job Responsibilities:
- Provide legal guidance and support to the organization, ensuring compliance with applicable laws and regulations.
- Manage legal risks, internal audit, and risk management functions within the organization.
- Serve as a key advisor to the executive leadership team, CEO, and board of directors.
- Offer legal counsel on issues including governance, compliance, contracts, and employment law.
- Oversee the contract review process to protect the organization’s interests.
- Draft and negotiate agreements with third parties, including corporate sponsorship agreements and service agreements.
- Manage litigation filed against the organization, including coordination with and oversight of outside counsel and insurance carriers.
- Create and manage the legal infrastructure for the organization, including policies and procedures and legal compliance review.
- Responsible for the protection and enforcement of rights to the organization's domestic and international assets and intellectual property.
- Oversee the organization’s governance framework, including the development and maintenance of bylaws and policies.
- Manage corporate governance matters and prepare board materials and minutes.
- Provide board governance guidance and support for the organization and its Board of Directors.
- Develop and implement risk management policies and strategies.
- Manage relationships with insurers and optimize risk management.
- Ensure compliance with relevant federal, state, and local regulations affecting nonprofit organizations.
- Monitor and oversee compliance with laws and regulations, including those impacting the organization’s 501(c)(3) status and data privacy.
- Oversee the internal audit process, ensuring financial and operational practices are compliant and effective.
- Develop training materials for staff and board members on legal responsibilities and risk management.
- Manage Deputy General Counsel and Administrative Assistant, with indirect reports including Sr. Manager Risk & Compliance, Associate General Counsel, and Paralegal.
- Perform all other duties as assigned.
Education and Experience Information:
- Juris Doctor and a minimum of 10 years’ experience in the practice of law, with at least 3 years at the level of General Counsel or Partner in a private nonprofit/NGO practice, or legal management equivalent.
- Experience should cover transactions, contracts, regulatory, tax, litigation, and commercial practice areas.
- Licensed to practice law in the USA, with 3+ years of the referenced experience.
- Travel up to 15%.
- Prior experience with a not-for-profit organization is considered a plus.
- Strong background in nonprofit law, excellent analytical, communication, and interpersonal skills.
- Ability to work collaboratively with diverse stakeholders.
Salary Information:
- Competitive salary of $176,000 to $255,000 annually, with exact compensation based on factors including the labor market, job level, internal equity, and budget. Offers consider the candidate's skills, education, experience, geographic location, and other necessary credentials.
