Job Overview:
A well-regarded law firm is seeking a Senior Corporate Associate Attorney for its Buffalo office. This non-partnership track role is designed for an experienced attorney who is interested in focusing on substantive client work with reduced administrative responsibilities. The position involves advising on a broad range of corporate legal matters, including entity formation, M&A transactions, governance, compliance, commercial contracts, and strategic business planning. It is ideal for a corporate attorney with at least 5 years of experience seeking a long-term role with a balanced workload.

Location:

  • Buffalo, NY

Duties:

  • Assist in all aspects of corporate and commercial legal work

  • Advise clients on:

    • Corporate governance and compliance

    • Commercial contracts

    • Entity formation and structuring

    • Strategic growth, succession planning, and exit strategies

  • Draft, review, and revise:

    • Shareholder agreements

    • Operating agreements

    • Merger and acquisition agreements

    • Other commercial legal documentation

  • Counsel clients throughout the full lifecycle of a business, from formation to exit

  • Collaborate across departments to deliver holistic legal solutions

  • Participate in a reduced-administrative role without billable hour or development obligations

Requirements:

  • Minimum of 5 years of experience in corporate law, M&A, commercial contracts, and business planning

  • Ability to independently manage client relationships and complex matters

  • Commitment to high-quality legal service and responsiveness

Education:

  • Juris Doctor (.) from an accredited law school

Certifications:

  • Active bar membership in good standing in New York or eligibility to waive in

Skills:

  • Proficient in drafting and negotiating corporate legal documents

  • Strong analytical, strategic thinking, and communication skills

  • Ability to handle a broad corporate practice with limited supervision

  • Collaborative team player with client-centered approach

  • Strong organizational and time-management abilities
