Job Title: Commercial Counsel (US Remote)
Job Responsibilities:
The Commercial Counsel is responsible for delivering legal advice, guidance, and expertise on routine transactional agreements and legal matters that could significantly impact the company's revenue and risk. Key responsibilities include:
- Drafting, reviewing, editing, finalizing, and negotiating routine transactional agreements to meet business and legal requirements. This includes agreements such as sales/supply, reseller/distribution, end-user license, professional services, hosting, Software as a Service (SaaS), subscription agreements, and statements of work (SOWs). The role may also involve working on telecom, maintenance, consulting and advisory, outsourcing, and other technology agreements.
- Managing contract documentation and approval flows to ensure consistency with internal processes.
- Assisting with contract disputes by understanding issues, researching solutions, and drafting settlement agreements.
- Researching and responding to general legal inquiries from the business related to contract disputes, regulatory issues, and new business initiatives.
- Providing counsel and guidance to achieve overall business objectives while fully complying with applicable laws and regulations and avoiding unacceptable risks. This includes supporting business and product development processes by providing key inputs and advice on legal risks and issues, prioritizing risks, and ensuring compliance with government and customer-imposed requirements.
- Maintaining, revising, and updating contract templates.
- Proactively developing and maintaining technical knowledge in specialized areas, staying up-to-date on current trends and best practices.
- Working under the general supervision of a manager and exercising reasonable judgment to determine when to escalate complex matters or decisions.
Education and Experience Information:
- Requires a Juris Doctor Degree and a minimum of 2 years of experience in corporate transactional, contracts negotiation, and/or commercial transaction experience.
- Admission to the Bar of at least one state is required, or admitted to practice in at least one jurisdiction if the international equivalent.
- Legal authorization to work in the . indefinitely is required. Employer work permit sponsorship is not available for this position.
Desired Skills/Qualifications:
- Experience in corporate transactional, contracts negotiation, and/or commercial transaction experience, preferably with a background in technology matters, including software licensing, subscription and hosted environments, telecom, government contracts, and/or intellectual property.
- Some experience working with legal policies and procedures and demonstrated ability to identify potential legal issues.
- Pragmatic and flexible approach to legal matters, recommending solutions that enable company success while protecting its legacy and future.
- Strong negotiation, consultation, and analytical skills.
- Excellent problem-solving skills, sound judgment, and decision-making skills.
- Strong interpersonal, presentation, and communication skills (including written and verbal).
- Ability to participate and collaborate in meetings with customers, vendors, attorneys, management, and other third parties regarding negotiation of agreements and general problem-solving.
- Business acumen, with the ability to understand the company’s business objectives and anticipate legal issues that could arise.
- Well-organized, detail-oriented, and adept in a fast-paced environment.
- Required to work with the highest level of ethics and discretion.
- Ability to drive results and execution by identifying issues and raising them for resolution to improve the client experience.

Salary Information:
Target Base Salary Range: $85,000 - $110,000 USD. Pay within this range varies and depends on job-related knowledge, skills, and experience. The actual offer will be based on the individual candidate.

- The position is full-time and may be remote.
- Travel requirements are under 10%.
