Duties
- Represent mid-market businesses in transactional and governance matters.
- Support partners and senior associates on corporate and real estate matters.
- Counsel clients on entity formation and corporate governance.
- Manage due diligence processes.
- Draft resolutions and ancillary documents for M&A transactions.
- Prepare and review distribution, manufacturing, technology, and other agreements.
- Draft joint ventures, LLC operating agreements, and corporate shareholder agreements.
Requirements
- JD required; JD/MBA preferred.
- High level of academic achievement.
- Ability to exercise good judgment and prioritize effectively.
- Capable of working independently and leveraging resources.
Education
- Juris Doctor (JD) degree.
Certifications
- Bar admission in relevant jurisdiction.
