Job Title: Fund Formation Associate (Junior/Mid-Level)

Job Responsibilities:
- Advising funds in all stages of their operations, which includes preparing offering materials and drafting partnership, limited liability company, and other governing agreements.
- Negotiating with investors and drafting side letters.
- Counseling fund managers on securities laws, structuring the acquisition and disposition of investments, and addressing other tax and regulatory matters.
- Advising clients on general fund operations, which covers conflicts of interest, compliance matters, and employment, consulting, and commercial relationships.
- Handling the admission of new members to general partner and management company entities.
- Managing separation agreements and fund, general partner, and management company loans.

Education and Experience Information:
- Juris Doctor (JD) degree obtained between 2020 and 2024.
- Previous experience in a large law firm is required.
- High level of academic achievement from a nationally recognized law school is necessary.
- Strong preference for candidates who are already licensed to practice law in the State of California or Texas and are in good standing.

Salary Information:
- Salary range for this position is $225,000 to $365,000.

Additional Information:
- The ideal candidate should have a strong desire to focus their practice on growth equity and venture capital fund formation and operations.
- Relevant experience in the private investment funds or similar group of a top-tier law firm is preferred.
- Experience representing venture capital, private equity, or growth equity funds, as well as handling ongoing investment firm operations matters and compliance with the Investment Company Act, the Investment Advisers Act, the Securities Act, and other regulatory requirements, is strongly preferred.
