A law firm located in Austin, TX is seeking a Technology Transactions (IT) Associate Attorney with 3-6 years of experience. The candidate will join the firm's national practice group and focus on intellectual property and commercial transactions for technology companies. This role involves structuring, drafting, and negotiating various agreements, including license, service, development, distribution, and partnering agreements. The successful candidate will also handle intellectual property aspects of mergers and acquisitions, public offerings, financings, and other multidisciplinary transactions. A strong interest in technology companies at all stages of growth and a background in technology or science are beneficial. The role requires superior academic credentials and excellent verbal, written, and interpersonal skills.

Duties:

  • Structure, draft, and negotiate intellectual property and commercial transactions, including licensing, service, development, distribution, and partnering agreements.
  • Handle intellectual property aspects of mergers and acquisitions, public offerings, financings, and other multidisciplinary transactions.
  • Advise technology companies on legal issues related to intellectual property and commercial transactions.
  • Collaborate with clients and internal teams to address complex transactional and regulatory matters.
  • Provide strategic legal counsel to support the growth and development of technology companies.
  • Stay current with trends and changes in technology law and intellectual property regulations.

Requirements:

  • 3-6 years of experience in intellectual property transactions and commercial agreements.
  • Strong interest in technology companies and experience supporting technology-related transactions.
  • Technical or science background is beneficial.
  • Experience in handling intellectual property aspects of various types of transactions, including mergers and acquisitions.
  • Demonstrated ability to structure, draft, and negotiate complex agreements.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to the bar in Texas (or eligibility for admission).

Skills:

  • Superior academic credentials and strong interest in intellectual property and commercial transactions.
  • Excellent verbal, written, and interpersonal communication skills.
  • Proven ability to work on complex transactions and provide strategic legal advice.
  • Strong organizational and analytical skills.
