Job Overview:
A prominent law firm in Charlotte, NC, is seeking a mid-level associate to join its investment funds team. The successful candidate will contribute to a dynamic legal group that advises a diverse range of clients-from emerging fund managers to global asset management entities the formation and management of private investment vehicles across a variety of asset classes and strategies.

Duties:

  • Draft and negotiate core fund documents, including:

    • Private placement memoranda

    • Limited partnership and operating agreements

    • Subscription materials and side letters

    • Advisory and placement agent agreements

    • Legal opinions and required regulatory filings

  • Lead fund formation projects from inception through closing

  • Manage investor onboarding processes, including reviewing and negotiating subscription documents

  • Interface directly with clients and investors throughout the fund lifecycle

  • Navigate closing logistics and oversee compliance-related documentation

  • Support clients on issues related to federal securities laws and regulatory frameworks relevant to private funds

Requirements:

  • 3-6 years of experience related to private fund formation or closely aligned transactional work

  • Proven ability to manage fundraising and support clients through the full lifecycle of a fund

  • Comfort with project ownership and direct client interaction

  • Familiarity with SEC regulations, especially the Investment Advisers Act, Regulation D, and exemptions under the Investment Company Act

  • Demonstrated experience working with high-volume, time-sensitive transactional processes

Education:

  • Juris Doctor (JD) from an accredited law school

  • Strong academic credentials preferred

Certifications:

  • Active membership in good standing with a . State Bar (North Carolina preferred or ability to waive in)

Skills:

  • Strong legal drafting and analytical abilities

  • Clear communication and negotiation skills

  • Capacity to operate autonomously and collaboratively within a fast-paced environment

  • Attention to detail and process management aptitude
