Job Title: Assistant General Counsel, Corporate Law

Job Responsibilities:
- Provide competent legal advice and representation to the corporate entity known as the organization, its controlled corporate affiliates, as well as certain of its elected leadership and executive staff.
- Advise the organization and its controlled corporate affiliates on a wide range of matters, including legislative, regulatory, transactional, governance, and business matters.
- Draft, review, interpret, and negotiate contracts and other legal documents.
- Develop, update, and perform legal reviews of organization policies on a variety of issues such as employment, corporate governance, and privacy.
- Advise the organization on employment matters.
- Provide counsel on matters related to the organization's political action committee.
- Assist the General Counsel in the prosecution and defense of lawsuits.
- Advise on copyright and trademark matters.
- Maintain knowledge of the organization’s legal documents and operations.
- Advise the organization’s executive staff on laws that would impact the organization's functionality.
- Consult with other divisions, management, accountants, and other staff as needed.
- Draft and update the organization's Office of the General Counsel whitepapers on various corporate law topics.
- Provide legal reviews of the organization's articles and other communications.
- Deliver speeches at organization-related meetings and functions.
- Serve as staff representation to organization boards, councils, and committees as necessary.
- Monitor the department budget and make recommendations for the annual budget to the General Counsel.
- Maintain a self-development program to increase personal effectiveness and broaden knowledge and skill.
- Arrange the organization's participation in various educational programs.
- Provide general legal information to physicians, county medical societies, other attorneys, etc.
- Perform other duties as required or directed.

Education and Experience Information:
- Requires a juris doctorate and a Texas license to practice law (must be a member in good standing of the Texas bar).
- Requires several years (., 3 to 7) of legal experience, preferably serving in-house advising on corporate matters.
- Knowledge of legal and regulatory requirements relating to contracts, privacy, security, corporate governance, employment, and political action committees is preferred.

Skills and Abilities:
- Ability to understand and follow oral and written instructions and to deal effectively with other organization employees and members.
- Ability to communicate effectively both orally and in writing.
- Must have excellent organizational skills.
- Ability to plan work that requires innovative, creative, and original thinking to develop solutions to unusual or major problems where decisions greatly affect organization-wide programs or operational considerations.
