We are currently seeking a highly motivated Senior Counsel to support the execution of acquisitions, divestitures, joint ventures, and early-stage investments, as well as financings and other Treasury matters. This role will involve working on multiple transactions simultaneously and partnering with Corporate Development to formulate strategies and advise senior management on important legal considerations. The Senior Counsel will also work closely with our businesses, their Business Development and Strategy leads, and various other functions to ensure legal compliance and mitigate risks.
Responsibilities:
- Oversee legal matters throughout all stages of the transaction process
- Brief senior management on legal aspects of transactions
- Handle multiple transactions simultaneously
- Anticipate and mitigate legal risks for **Members Only**
- Stay current with M&A contract market trends and regulatory developments
- Coordinate legal aspects of acquisitions and dispositions, including instructing outside counsel and ensuring regulatory compliance
- Draft, review, and negotiate various agreements and filings
- Conduct research and advise senior management on legal matters related to M&A
- Perform other assigned projects and tasks
Requirements:
- JD with a minimum of five years' experience at a top law firm
- M&A and corporate experience, including global cross-border transactions
- Member of the bar in at least one state
Skills and Capabilities:

- Ability to work independently and with a team
- Strong ethics, integrity, and judgment
- Ability to collaborate with colleagues across various functions and businesses
