Job Overview

An established law firm is seeking a mid-level associate to join its Finance & Restructuring practice group, with a focus on corporate trust transactions. This role involves representing financial institutions and trust clients across a variety of matters including structured finance, municipal and corporate debt issuances, and document custody. The ideal candidate will have 2–4 years of transactional experience and a strong background in drafting and negotiating complex financial agreements. This position offers a hybrid work arrangement and the opportunity to collaborate with a highly experienced team of finance professionals.

Location

Duties

  • Represent financial institutions and corporate trust clients in transactional matters

  • Advise on transactions involving:

    • Structured finance (RMBS, CMBS, ABS)

    • Municipal and corporate debt issuances

    • Finance facilities and document custody

  • Draft, review, and negotiate a wide range of agreements, including:

    • Trust indentures

    • Loan agreements

    • Account control agreements

    • Agency and custodial agreements

    • Pooling and servicing agreements

    • Servicing, disbursement, and master services agreements

    • Non-disclosure and related transactional documents

  • Manage multiple concurrent transactions and deadlines

  • Collaborate effectively with colleagues and clients across practices and locations

Requirements

  • 2–4 years of transactional legal experience, preferably within a finance, capital markets, or restructuring practice

  • Experience working with complex commercial or financial agreements

  • Ability to handle high-volume transactional workloads with attention to detail

  • Proven ability to communicate effectively with institutional clients

  • Strong organizational and multitasking skills

Education

  • Juris Doctor (.) from an accredited . law school

  • Strong academic record preferred

Certifications

  • Licensed to practice law in the relevant state or eligible for prompt admission

Skills

  • Proficiency in drafting and negotiating transactional contracts

  • Sophisticated legal analysis and issue-spotting abilities

  • Strong written and verbal communication skills

  • High degree of professionalism and client service orientation

  • Ability to work both independently and collaboratively in a team setting
