Shumaker, a leading law firm, is seeking a highly skilled attorney with at least 7 years of experience in private fund and/or investment management. This is a full-time, hybrid position with multiple location options across the United States.

Job Description:
As a Private Fund/Investment Management Attorney at Shumaker, you will have the opportunity to work on sophisticated and challenging transactional matters for clients in Florida and nationwide. Your responsibilities will include:
Structuring and forming various investment vehicles such as private funds, joint ventures, special purpose vehicles, alternative investment vehicles, feeder funds, and co-investment entities
Preparing offering documents, including limited partnership agreements, private placement memorandums, and subscription agreements
Negotiating capital raising and side letters
Ensuring compliance with applicable . laws and regulations, including the Investment Company Act, Investment Advisers Act, and state and federal securities laws
Advising institutional investors on their investments in venture capital, private equity, and/or real estate funds
Requirements:
Juris Doctor degree from an ABA accredited law school
Active bar license in the state where you will be working
7+ years of experience in private fund and/or investment management
Experience with compliance under the Investment Company Act and Investment Advisers Act
Strong project management skills, with the ability to handle multiple projects and deadlines
Excellent written and verbal communication skills, as well as analytical, problem-solving, and decision-making abilities
Ability to maintain confidentiality and work independently
