Job Description:
We are currently seeking a highly experienced and qualified Corporate Attorney to join our Transactional Department. The ideal candidate should have significant experience in business law and be able to handle complex commercial transactions, securities law, tax, M&A, and corporate restructurings. The candidate should also possess excellent critical-thinking, drafting, and problem-solving skills, and be able to manage multiple projects independently.
Responsibilities:
• Provide legal advice and counsel to clients on corporate matters
• Draft and negotiate complex commercial agreements
• Conduct legal research and analysis
• Prepare legal documents and contracts
• Participate in due diligence for corporate transactions
• Collaborate with other attorneys and professionals within the firm
• Manage and train junior associates and paralegals
• Maintain strong relationships with clients and provide exceptional client service
Qualifications:
• Juris Doctor degree from an accredited law school
• Admission to the state bar and in good standing
• Minimum of 7-10 years of experience in corporate law, with a focus on complex commercial transactions, securities law, tax, M&A, and corporate restructurings
• Strong academic credentials
• Excellent communication and interpersonal skills
• Ability to work independently and manage multiple projects
• Strong critical-thinking, drafting, and problem-solving skills
