Duties

  • Advise private fund sponsors on the formation, structuring, and ongoing operation of investment funds

  • Draft and negotiate fund formation documents and related investor agreements

  • Counsel on regulatory and compliance matters impacting private investment vehicles

  • Assist with marketing documentation and private placement memoranda

  • Support fund closings, LP negotiations, and fund governance matters

  • Advise clients on market trends and best practices across private equity and alternative asset classes

  • Collaborate with tax, regulatory, and other internal teams to deliver comprehensive fund structuring advice

  • Engage with sophisticated institutional investors and asset managers across various sectors

Requirements

  • 2–6 years of corporate legal experience, with a focus on investment fund formation and sponsor-side representation

  • Background in a leading national or international law firm

  • Familiarity with private equity, hedge funds, or other alternative investment vehicles

  • Strong experience in fund documentation, regulatory frameworks, and fundraising processes

  • Ability to manage multiple client relationships and prioritize time-sensitive deliverables

Education

  • Juris Doctor (JD) from an accredited . law school

  • Admission to practice law in Illinois or eligibility for waiver/admission

Certifications

  • No specific certifications required, but industry-related coursework or training in fund structuring is a plus

Skills

  • Excellent drafting, negotiation, and analytical skills

  • Strong understanding of securities law and investment adviser regulations

  • Effective communicator with clients, team members, and counterparties

  • Ability to work independently and as part of a cross-functional legal team
