Job Overview:

A top-tier international law firm is seeking a Finance Associate Attorney for its New York office. This role offers the opportunity to work on complex domestic and cross-border financing transactions, particularly in debt structuring, loan documentation, and acquisition financing. The ideal candidate will have a background in M&A, banking, and finance law, with experience supporting both lenders and borrowers.

Location:

  • New York, NY

Duties:

  • Draft debt term sheets detailing key economic terms including interest rates, maturity, and prepayment mechanisms

  • Draft, review, and negotiate Credit Agreements and related Schedules and Exhibits

  • Coordinate and draft collateral documents, Perfection Certificates, and Collateral Agreements

  • Manage lien search requests and prepare payoff documentation for existing obligations

  • Coordinate delivery and documentation of possessory collateral (., stock certificates, promissory notes)

  • Draft legal opinions and officer’s certificates

  • Prepare secretary’s certificates with organizational and good standing documentation

  • Support lender due diligence by coordinating KYC and beneficial ownership information

  • Draft board and stockholder written consents authorizing financings

  • Collaborate with foreign counsel on cross-border security interests and guarantees

  • Advise on liquidity and creditworthiness of foreign loan parties

Requirements:

  • Minimum 1 year of relevant experience in M&A, banking, or finance law (law clerk or associate capacity)

  • Prior work in public/private debt financing and acquisition financing for private equity sponsors

  • Must have experience:

    • Drafting consents and collateral documents

    • Working with public/private debt and acquisition financings

    • Drafting organizational documents (., certificates of incorporation, bylaws, LLC agreements)

Education:

  • Juris Doctor (JD), LLM, or foreign equivalent required

Certifications:

  • Must be admitted to practice law in the State of New York

Skills:

  • Strong drafting and negotiation skills for credit agreements and finance-related contracts

  • Knowledge of loan funding processes, regulatory filings, and lender compliance

  • Effective communicator with strong organizational skills and the ability to manage complex deals

  • Experience working with cross-border legal teams preferred
