**Members Only**, a leading electric vehicle and clean energy company, is seeking a highly motivated Corporate Counsel with a strong background in commercial real estate. This individual will be responsible for providing strategic legal advice to various internal teams, including Real Estate, Design, Construction, Finance, Policy, EH&S, Engineering, and Supercharger.

Responsibilities:

- Represent the company in all commercial real estate transactions, including complex agreements, acquisitions, compliance, and contractual obligations
- Negotiate a high volume of sophisticated real estate leases, subleases, and licenses within tight deadlines
- Draft and review ancillary real estate documents such as amendments, assignments, easements, and NDAs
- Review due diligence items and handle closing matters as needed
- Identify and communicate complex business and legal issues related to **Members Only**'s real estate portfolio
- Address lease interpretation issues and make sound judgement calls
- Work closely with internal teams to manage post-lease execution issues and resolve disputes

Requirements:

- Member in good standing with the California or Texas bar, or ability to register as in-house counsel
- Extensive experience in top-tier law firms or in-house handling commercial real estate transactions
- Strong work ethic and ability to manage a large number of transactions
- Excellent time management skills and ability to prioritize a heavy workload efficiently
- Strong drafting and analytical skills
- Excellent communication, organizational, and planning skills
- Ability to form strong working relationships with internal business partners

Expected Compensation:

$172,000 - $431,640/annual salary, depending on level + cash and stock awards + benefits. Pay may vary depending on factors such as location, job-related knowledge, skills, and experience. The total compensation package may also include other elements dependent on the position offered.
