Senior Counsel Equipment and Vendor Finance
Job Responsibilities:
The Senior Counsel for Equipment and Vendor Finance at the company is responsible for a variety of legal tasks and strategic initiatives within the department. Major responsibilities include:
- Leading the structuring, documentation, and transactional support for lending and leasing products offered to customers.
- Supporting capital markets and syndications teams in acquiring and selling transactions with other financial institutions.
- Managing the negotiation and drafting of vendor programs with original equipment manufacturers and equipment dealers.
- Reviewing and providing legal advice on a wide range of equipment finance transactions.
- Offering general transactional advice for secured lending and working with documentation, credit, and sales teams.
- Identifying and assisting with regulatory compliance requirements and managing legal and operational risk.
- Drafting and updating transactional document templates.
- Leading complex initiatives with broad impact and participating in large-scale planning.
- Reviewing and analyzing complex, large-scale, or long-term challenges that require in-depth evaluation of multiple factors, including intangibles or unprecedented factors.
- Independently identifying and analyzing complex legal issues, developing conclusions, and making recommendations for issue resolution.
- Developing and leading the implementation of strategic business initiatives and leading work teams to meet deliverables and drive new initiatives.
- Educating, training, and supervising less experienced attorneys within the department.
- Collaborating strategically with peers, colleagues, and mid-level to more experienced managers to resolve issues and achieve goals.
- Leading projects, teams, or serving as a peer mentor.
- Developing relationships with and providing guidance to more experienced leadership, including executive officers, on issues that may present legal, regulatory, compliance, or reputational risk to the company.
- Partnering with business leaders and management of other corporate departments to develop and implement risk management programs.
Education and Experience Information:
- A minimum of 4+ years of law experience is required, which can be demonstrated through work experience, training, military experience, or education.
- Active State Bar membership or the equivalent in a country outside the United States is mandatory.
Desired Qualifications:
- Prior experience as a practicing attorney representing clients in secured transactions and/or equipment financing transactions.
- Solid understanding of UCC Article 9 and Article 2A.
- Knowledge and experience with . laws, rules, and regulations relevant to equipment financing and banking laws (including the Dodd-Frank Act and the Bank Holding Company Act), bankruptcy laws, and laws relating to secured transactions and creditors’ rights.
- Strong analytical skills with high attention to detail and accuracy.
- Experience building partnerships and consulting effectively with leadership.
- Ability to execute in a fast-paced, high-demand environment while balancing multiple priorities.
Salary Information:
The base pay range offered for this position is between $120, and $262,. Pay may vary depending on factors such as achievements, skills, experience, or work location. Salary is just one component of the company's total rewards package, which may include additional forms of compensation such as sales incentives, discretionary bonuses, and/or equity in the company in the form of Restricted Stock Units (RSUs).
