A full-service law firm in Florham Park, NJ is seeking a Corporate Attorney with a strong background in mergers and acquisitions, corporate transactions, and intellectual property matters. Location:

  • Florham Park, New Jersey

Duties:

  • Advise clients on mergers, acquisitions, and corporate structuring

  • Handle secured stock and asset transactions and secured financing deals

  • Draft and review a variety of corporate contracts and transactional documents

  • Provide counsel on general corporate governance and compliance

  • Conduct intellectual property due diligence in corporate transactions

  • Assist with IP licensing, registration, and prosecution when required

  • Collaborate with other attorneys across practice areas for integrated client support

Requirements:

  • Minimum of 5 years of experience in corporate transactional law

  • Demonstrated experience in mergers and acquisitions, corporate formation, and finance

  • Familiarity with intellectual property issues, particularly licensing and due diligence

  • Ability to manage transactions and client matters with minimal supervision

  • Strong interpersonal and client-facing skills

Education:

  • Juris Doctor (.) from an accredited law school

Certifications:

  • Admission to the New Jersey State Bar (required)

  • Admission to the New York State Bar (preferred but not required)

Skills:

  • Proficiency in drafting complex transactional agreements

  • Strong written and verbal communication skills

  • Ability to manage and prioritize multiple ongoing projects

  • Collaborative mindset with attention to detail and legal accuracy

  • Practical knowledge of intellectual property within corporate contexts
