Job Title: Head of Commercial Contracts and M&A

Job Responsibilities:
The Head of Legal, Commercial Contracts and M&A is a senior role tasked with managing the legal strategy, risk management, and execution of all commercial transactions and M&A activities at the company. Key responsibilities include:

- Drafting, reviewing, and negotiating a variety of contracts critical to the company's growth and operational objectives.
- Collaborating with cross-functional teams across the company to ensure alignment in legal matters.
- Providing legal advice on issues related to healthcare and regulatory laws pertinent to contracts and transactions.
- Overseeing the company's AI-enhanced contract management system to streamline processes and enhance efficiency.
- Updating or developing standard contract templates and playbooks.
- Supervising and leading a team of legal professionals to execute commercial contracts effectively.

Specific duties related to Commercial Contracts include:
- Leading the drafting, review, negotiation, and advising on various types of contracts such as Laboratory Services Agreements, Master Services Agreements, SaaS agreements, consulting agreements, equipment and software licensing agreements, Non-Disclosure Agreements, and Material Transfer Agreements.
- Offering legal advice on contract terms, new product or service offerings, healthcare laws, and data privacy.
- Acting as the primary legal contact for reviewing and approving assigned contracts, providing strategic advice on contract terms, and mitigating risks.

For M&A activities, responsibilities include:
- Providing legal advice and managing aspects related to M&A, including due diligence, contract negotiation, potential regulatory clearances, and integration.
- Drafting term sheets, letters of intent, purchase agreements, shareholder agreements, and ancillary transaction documents.
- Coordinating with external counsel and advisors as needed for seamless deal execution.
- Conducting risk assessments on M&A targets, including regulatory, compliance, and litigation risks.

In terms of Risk Management and Compliance:
- Monitoring and ensuring compliance with applicable laws and regulations, including corporate, commercial, antitrust, anti-bribery, data privacy, and industry-specific laws.
- Identifying potential legal risks in commercial agreements and developing strategies to mitigate them.

Strategic Leadership duties include:
- Enhancing contract lifecycle management tools to drive efficiencies and reduce risk.
- Improving internal policies and procedures to manage legal risk across commercial and M&A activities.
- Establishing and maintaining contract templates, playbooks, and negotiation guidelines.
- Providing training and guidance to business units on legal compliance and best practices relevant to contracts and transactions.
- Analyzing legal issues related to commercial contracts and transactions for recommendations to management.

Education and Experience Information:
- A Juris Doctor (.) degree is required.
- Admission to practice law in the appropriate state.
- At least 15-20 years of experience . as a commercial attorney with progressive levels of responsibility.
- Experience in leading teams to drive efficient and effective results.

Salary Information:
The pay transparency and budgeted range for this role is between $260,000 and $300,000 USD.

- Familiarity with the lab Dx industry and the ability to get up to speed quickly is necessary.
