Job Title: Corporate Counsel, Contracts

Job Responsibilities:
The Corporate Counsel, Contracts is tasked with the crucial role of supporting the review, negotiation, and execution of key contracts across various departments within the company. This role is integral to the Legal Department and involves close collaboration primarily with the CMC/supply chain team, as well as clinical, quality, finance, research & development, IT, and other internal clients. The responsibilities include:

- Serving as the primary legal liaison for the company’s international CMC/supply chain business team.
- Drafting, reviewing, and negotiating a variety of agreements such as CMC/supply chain master agreements, statements of work, change orders, supply agreements, vendor master service agreements, real estate leases/subleases, professional services agreements, agency/placement agreements, IT/software license agreements, confidentiality or non-disclosure agreements, and clinical-related contracts.
- Liaising between internal business units and external parties to ensure efficient and prompt resolution of legal and contractual matters, escalating issues as necessary to mitigate company risk and meet business objectives.
- Responding promptly to complex inquiries regarding contract obligations and revisions.
- Identifying risks and issues, suggesting alternatives that align with company business objectives while mitigating risk.
- Preparing and disseminating information regarding contract status, compliance, and modifications in a timely manner.
- Collaborating with Intellectual Property Counsel to address intellectual property issues in agreements.
- Interacting with Compliance and Quality Assurance teams to handle compliance and quality matters effectively.
- Preparing template agreements, modifying existing templates, and crafting unique agreements as needed.
- Ensuring clear and prompt communication with company employees and external parties regarding contract status or issues.
- Handling miscellaneous legal tasks or special assignments as needed.
- Performing all other duties as assigned.

Education and Experience Information:
- A Juris Doctor (JD) degree with over 6 years of experience in contracting and negotiation, either at a law firm or in-house with a pharmaceutical, medical device, or healthcare company.
- Prior experience in CMC/supply chain contract negotiation within a pharmaceutical company is required.
- Strong skills in precise drafting, legal analysis, and knowledge of regulations, statutes, and industry guidelines impacting pharmaceutical research, development, and commercial contracts, including data privacy.
- Proficiency in Microsoft Word and a working knowledge of Excel and Microsoft Access.
- Excellent written and oral communication skills, with the ability to work effectively across all levels of management and personnel.
- Open to feedback, leads by example, and maintains a positive attitude.
- Competence in comprehending and managing business contracts and complex documents.
- Ability to handle multiple projects in a timely manner.
- Strong interpersonal skills, team player mentality, and a keen understanding of business to diagnose legal problems and present creative solutions.
- Strong organizational and planning skills, meticulous attention to detail, and the ability to work independently with initiative, flexibility, and good judgment.
- Ability to work well under pressure to meet specific deadlines.

Salary Information:
The salary range for the Corporate Counsel, Contracts position is $230,000 to $260,000 annually. Compensation packages are tailored based on several factors unique to each candidate, including skill set, depth of experience, certifications, and specific work location, which may vary due to differences in the cost of labor in different locations. The total compensation package may also include bonuses, stock options, benefits, and other applicable variable compensation.
