Duties
Draft and negotiate primary and ancillary documents related to mergers, acquisitions, divestitures, joint ventures, and other corporate transactions
Lead due diligence processes on both the buy-side and sell-side of M&A transactions
Advise clients on entity formation, general corporate matters, governance, and tax-related structuring
Collaborate with colleagues across practice groups including tax, finance, and regulatory
Support business development efforts by participating in client meetings and proposals
Manage complex deal timelines while maintaining attention to detail
Interpret and apply corporate, securities, and other applicable laws
Requirements
Minimum of 3 years of experience in Corporate and M&A law
Demonstrated experience leading or managing corporate transactions
In-depth understanding of general corporate law, entity structuring, and tax considerations
Excellent written and verbal communication skills
Ability to handle multiple matters in a fast-paced environment
High level of professionalism and commitment to client service
Strong analytical and problem-solving skills
Education
Juris Doctor (.) from an accredited law school
Certifications
Active license to practice law in Missouri, Illinois, or Ohio (based on office location)
