Duties

  • Draft and negotiate primary and ancillary documents related to mergers, acquisitions, divestitures, joint ventures, and other corporate transactions

  • Lead due diligence processes on both the buy-side and sell-side of M&A transactions

  • Advise clients on entity formation, general corporate matters, governance, and tax-related structuring

  • Collaborate with colleagues across practice groups including tax, finance, and regulatory

  • Support business development efforts by participating in client meetings and proposals

  • Manage complex deal timelines while maintaining attention to detail

  • Interpret and apply corporate, securities, and other applicable laws

Requirements

  • Minimum of 3 years of experience in Corporate and M&A law

  • Demonstrated experience leading or managing corporate transactions

  • In-depth understanding of general corporate law, entity structuring, and tax considerations

  • Excellent written and verbal communication skills

  • Ability to handle multiple matters in a fast-paced environment

  • High level of professionalism and commitment to client service

  • Strong analytical and problem-solving skills

Education

  • Juris Doctor (.) from an accredited law school

Certifications

  • Active license to practice law in Missouri, Illinois, or Ohio (based on office location)
