Job Title: Assistant General Counsel

Job Responsibilities:
- Provide strategic, practical, and actionable legal advice to the business on a broad range of issues, including existing business and new business opportunities, to support organizational goals.
- Identify, research, and analyze relevant federal, state, and local requirements, translating them into business solutions and processes.
- Assist in developing the company's legal strategy to promote and protect the organization’s business interests.
- Draft, negotiate, and interpret a wide range of commercial contracts with sophisticated customers and business partners, including LTAs/MSAs, NDAs, terms and conditions, requirements contracts, and licensing agreements.
- Advise clients regarding risks associated with contract terms and proposed agreements.
- Support the strategic operational objectives of the company related to information technology systems, potential acquisitions, and asset sales.
- Assist in overseeing the company’s compliance program, manage annual code of conduct training, handle conflict minerals reporting obligations, manage privacy law compliance initiatives, and provide proactive guidance to mitigate risk and liability.
- Oversee outside counsel representing the company in litigation concerning products sourced, manufactured, or sold by company entities, review discovery responses and expert reports, coordinate depositions of company representatives, and engage other internal SMEs as needed.
- Ensure the involvement and approval of company stakeholders when appropriate.
- Regularly review and assess known litigation exposures and ensure that the Chief Legal Officer receives timely and accurate information regarding litigation matters, including case status, spend, litigation strategy, and settlements.
- Provide pragmatic, focused legal counsel on transactional matters, interpretation of contracts, applicable laws, rules, and policies.
- Perform other duties as assigned.

Education and Experience Information:
- Juris Doctor Degree (JD) is required.
- Familiarity with DOJ’s guidance on the Evaluation of Corporate Compliance Programs is necessary.
- A Corporate Compliance and Ethics Professional (CCEP) or similar credential is preferred.
- Preferred 12-plus years of legal experience as in-house counsel or relevant law firm or government agency experience.
- Experience advising business leadership on product, contract, and sales-related matters is essential.
- Experience in the management of compliance programs is required.

Working Conditions:
