Job Title: Senior Counsel, Biopharma Solutions & Strategic Sourcing

Job Responsibilities:

The Senior Legal Counsel is entrusted with the role of serving as the primary legal partner to leaders of a division within a business unit. This position involves providing counsel on legal issues and offering guidance on risk mitigation. The responsibilities include:

- Delivering excellent client service and counseling division leaders on various legal questions and issues, such as contract compliance and confidentiality. The counsel determines the appropriate legal actions and projects associated costs for business leaders.
- Drafting the initial format and terms for commercial agreements and delivering agreements to customers and vendors to initiate negotiations. This involves interfacing with Contract Administration teams to set up contracts.
- Meeting with external parties to negotiate agreement terms, aiming to achieve the most favorable terms for the business. The counsel provides advice to business leaders on accepting or refusing external party terms based on legal considerations and business acumen.
- Reviewing all terms and revisions from external parties and managing the iterations of commercial agreement terms.
- Reviewing a variety of marketing and public relations communications to ensure compliance with all product information and messaging.
- Identifying and liaising with appropriate Legal and Compliance teams on behalf of the business to resolve legal issues that do not fall within the purview of commercial and transaction law.
- Proactively identifying legal risks and providing insights on incorporating risk mitigation into strategic planning as a trusted business partner.
- Serving as a primary liaison and expert on the business in support of the Litigation team when the business engages in litigation.
- Advising business unit leaders on terms, risks, and due diligence during mergers and acquisitions activities.

Education and Experience Information:

- Juris Doctorate degree is required.
- 8-12 years of experience is preferred.
- A Bachelor's degree in a related field is also required.

- Independently determining the method for completion of new projects.
- Receiving guidance on overall project objectives.
- Acting as a mentor to less experienced colleagues.

Salary Information:

Anticipated salary range for this position is $121,600 - $173,700.
