Job Title:
Sr. Counsel, Legal, Patent Licensing

Job Responsibilities:
The Sr. Counsel, Legal, Patent Licensing at the company will be responsible for a range of critical duties within the legal department, particularly focusing on intellectual property (IP) and patent licensing. Key responsibilities include:

- Negotiating and finalizing inbound patent licenses, springing licenses, cross-licenses, patent infringement settlement agreements, and IP-related provisions in licensing agreements, such as covenants-not-to-sue, IP indemnities, and joint ownership provisions.
- Providing strategic business and legal advice as a licensee to develop a comprehensive, long-term strategy for the company’s intellectual property rights, with an emphasis on mitigating risks posed by non-practicing entities and protecting market channels.
- Proactively engaging with various teams across the enterprise to identify potential IP risks and providing education and training to technical teams.
- Handling a range of intellectual property and technology transactional matters as a licensee, including structuring, drafting, revising, and negotiating a wide variety of agreements related to intellectual property and technology. These include license agreements, research and development agreements, strategic alliance agreements, maintenance, support and other service agreements, and other intellectual property and technology agreements.
- Assisting on intellectual property aspects of mergers and acquisitions, and other strategic transactions.

Education and Experience Information:
- Juris Doctor degree with superior academic credentials.
- Membership in good standing in at least one state bar.
- A minimum of 12 years of experience providing counseling for intellectual property transactions.

Preferred Qualifications:
- Excellent communication skills, particularly in negotiating with potential licensors and advising internal partners on inbound licensing opportunities.
- Strong interpersonal and collaboration skills, indicative of a team player.
- Ability to manage complexity in a dynamic business environment.
- Hard-working, self-starter with excellent attention to detail.

Salary Information:
The base salary budgeted range for this position is $195,000 - $205,000. Individuals may also be considered for bonus and/or commission.

Additional Information:
- Location preference for Raleigh or Chicago, though remote candidates will be considered.
