A law firm in Lansing, MI, is seeking a skilled Corporate Attorney to join their team. The ideal candidate will have significant experience in handling business transactions, including mergers and acquisitions, private offerings, and capital restructuring. The role requires a strong background in general corporate work, contract review and drafting, and the ability to lead transactions independently.
Duties and Responsibilities:
- Assist in various business transactions such as mergers and acquisitions, private offerings, and capital restructuring.
- Provide legal counsel on general corporate matters, including contract negotiation, review, and drafting.
- Lead and manage transactional matters, taking a first chair role as required.
- Conduct due diligence reviews and prepare related reports and analyses.
- Draft and negotiate transactional documents, including purchase agreements, shareholder agreements, and corporate resolutions.
- Advise clients on corporate governance issues, compliance requirements, and regulatory matters.
- Maintain strong client relationships and ensure exceptional client service throughout engagements.
- Collaborate effectively with internal teams and external stakeholders to achieve client goals and objectives.
Requirements:
- Juris Doctor (JD) degree from an accredited law school.
- Admission to the Michigan State Bar (preferred) or eligibility for admission by motion.
- Minimum of 3 years of experience practicing corporate law at a law firm.
- Demonstrated ability to independently manage and lead transactions in a first chair capacity.
- Strong background in transactional work, particularly in mergers and acquisitions.
- Excellent academic credentials with a track record of high achievement.
- Exceptional organizational skills with the ability to manage multiple projects and deadlines.
- Superior attention to detail and accuracy in work product.
- Excellent interpersonal and communication skills, both written and verbal.
