Job Title: Director, Legal, Technology & Commercial
Job Responsibilities:
- Negotiate and draft a variety of technology and commercial agreements and other legal documents to support the company's businesses and corporate functions. This includes software and technology license/development agreements, SaaS agreements, data licensing agreements, consulting agreements, purchase agreements, proof of concept agreements, statements of work, and NDAs. Provide advice on the structure of transactions.
- Support enterprise technology and streaming business units, including technology and operations infrastructure and platforms and services that support the company's theatrical and television studio productions, linear broadcasting, digital products, and direct-to-consumer and streaming platforms. This also includes software and application licensing and development, data science and data strategy, distribution technologies, production and post-production technologies, media supply chain, enterprise systems and solutions, IT and telecom, information security, advertising and marketing technology, payment processing technologies, AI technologies, and more.
- Interpret and provide advice to internal clients regarding the company's rights, obligations, restrictions, and all other contractual provisions included in the company's tech and commercial contracts.
- Provide strategic legal advice and counsel on various licensing, technology, commercial, and other legal topics, with an emphasis on AI. Evaluate and provide advice to internal clients on the use of AI, identifying risks and ensuring appropriate contract protections. Stay current with market standard AI contractual provisions, and developments and changes in laws applicable to AI.
- Coordinate with Information Security and the Privacy office on data security and privacy issues, and other stakeholders such as Tax, Risk Management, Business Resiliency, Ethics & Compliance, etc., related to contract negotiations.
- Complete projects and tasks as assigned and provide general support for the team.
- Assist with the development and maintenance of contract templates and standard contract provisions utilized by the team.
Education and Experience Information:
- A minimum of 7 years of technology and commercial transactional experience at a law firm and/or in-house legal department. Prior law firm experience is highly preferred.
- Juris Doctor (JD) degree and an active member of at least one US state bar, in good standing.
- Technically proficient lawyer with substantial experience in technology and commercial transactions. Prior experience with contracting for AI technologies and advising on AI-related matters is preferred.
- Superior drafting skills with substantial experience in contract negotiations to deliver both proper legal protection for the company and excellent commercial results.
- Clear and concise communicator with the ability to present and distill legally complex issues into legally compliant but practical and commercial solutions, engaging key stakeholders.
- Highly motivated self-starter with a strong work ethic and the ability to work under pressure in a fast-paced environment, effectively juggling competing priorities.
- Strategic thinker with excellent judgment and decision-making skills.
- Strong interpersonal skills with the ability to work effectively at all levels within the company, combined with a cooperative and collaborative team-oriented attitude.
- Strong organizational skills with attention to detail.

Salary Information:
- Pay Range: $116, - $215, salary per year.
