Duties:

  • Provide legal counsel on traditional corporate matters, including business formation, corporate governance, and contract negotiations.
  • Handle complex business transactions, including mergers and acquisitions, from inception to completion.
  • Assist in post-closing mergers and acquisitions disputes, focusing on issues such as purchase price adjustments and valuation of damages.
  • Conduct pre-transaction underwriting and risk assessment concerning transaction risk insurance.
  • Draft and review legal documents, including agreements, contracts, and corporate resolutions.
  • Collaborate with clients and internal teams to develop strategies and solutions for legal and business issues.
  • Stay updated on relevant legal developments and industry trends to provide informed legal advice.

Requirements:

  • 2-4 years of experience handling complex business transactions, including mergers and acquisitions, business formation, corporate governance, and contract matters.
  • Strong academic credentials, including an undergraduate degree in finance or accounting.
  • Excellent written and oral communication skills.
  • Ability to work independently and collaboratively within a team environment.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • An undergraduate degree in finance or accounting is preferred.

Certifications:

  • CPA, CFA, or other accounting/valuation credentials are highly valued.

Skills:

  • Proven ability to handle complex business transactions and legal matters.
  • Strong analytical and problem-solving skills.
  • Exceptional organizational and time management abilities.
  • Ability to communicate effectively with clients, colleagues, and other stakeholders.
