Job Overview:
A premier law firm is seeking a Corporate Associate with 4–6 years of experience in public company representation and capital markets transactions. This position focuses on advising public companies on regulatory compliance, disclosure obligations, and corporate governance, as well as representing issuers and underwriters in a variety of securities offerings. The ideal candidate will bring a strong understanding of SEC and stock exchange regulations and have experience working with clients in the technology or life sciences sectors.

Location:

  • Boston, MA

Duties:

  • Advise public companies on:

    • SEC reporting and compliance requirements

    • Corporate governance and disclosure obligations

    • Nasdaq and NYSE compliance

  • Represent issuers and/or investment banks in:

    • Initial Public Offerings (IPOs)

    • Follow-on equity and debt offerings

    • Private Investments in Public Entities (PIPEs)

    • At-the-market (ATM) offerings

  • Address day-to-day legal matters impacting public companies

  • Work with clients in the technology and life sciences sectors

Requirements:

  • 4–6 years of relevant experience in public company advisory and capital markets transactions

  • Strong background in federal securities laws, public disclosure, and governance issues

  • Experience with complex transactional matters and regulatory compliance

  • Familiarity with the legal needs of growth-stage or publicly traded companies

Education:

  • Juris Doctor (.) degree from an accredited . law school

Certifications:

  • Active membership in the bar of at least one . jurisdiction

  • Eligibility for bar admission in the relevant office location

Skills:

  • Deep understanding of SEC regulations and stock exchange requirements

  • Proficient in legal drafting, transaction execution, and client communication

  • Strong analytical and problem-solving abilities

  • Ability to manage multiple projects in a fast-paced environment

  • Client-service orientation and ability to work collaboratively with cross-office teams
