Job Title: Fund Formation Attorney - Income Principal

Job Responsibilities:
- Lead and manage the formation of private investment funds, including venture funds, venture studios, incubators, accelerators, private equity funds, and crypto venture funds.
- Draft and negotiate fund documentation such as limited partnership agreements, subscription agreements, and private placement memoranda.
- Advise clients on fund structuring and regulatory compliance.
- Provide ongoing counseling to fund managers and investors on fund-related matters.
- Advise clients on corporate governance issues, including fiduciary duties and conflicts of interest.
- Assist clients with regulatory filings and compliance matters related to private investment funds.
- Ensure compliance with federal and state securities laws and regulations.
- Advise clients on SEC regulations, including the Investment Company Act, Investment Advisers Act, and other relevant regulations.
- Handle securities filings and reporting requirements.
- Negotiate and draft transactional documents for fund-related investments.
- Coordinate with other practice groups within the law firm on multi-disciplinary transactions.
- Provide support on mergers and acquisitions, joint ventures, and other corporate transactions involving fund clients.
- Participate in client pitches and business development activities.
- Build and maintain relationships with existing and prospective clients.
- Stay abreast of industry trends and developments to provide proactive advice to clients.

Education and Experience Information:
- A portable book of business is required.
- Minimum of 7 years of meaningful experience in the formation of funds focused on private equity, real estate, venture capital, and other illiquid asset classes.
- Experience advising clients on fund formation, structuring, capital raising, compliance, and related legal issues.
- JD from an ABA-accredited law school and a license to practice law are required.
- Strong academic credentials and excellent analytical and writing skills.
- A client-service approach and exceptional communication skills.
- Enthusiasm to work as part of a diverse team or independently.
- Ability to manage significant individual responsibilities.
- Strong attention to detail and organizational skills.
- Responsive and professional service.

Salary Information:
- The annualized salary range for this position is $200,000 to $325,000. Actual pay will be adjusted based on the candidate’s relevant experience, location, and other job-related factors permitted by law.
