Job Summary:

Company is seeking an experienced and proactive General Counsel to lead and manage the company’s legal functions, ensuring compliance with all legal, regulatory, and contractual obligations. The General Counsel will provide strategic legal advice to senior management, support business operations, and oversee all legal aspects of corporate governance, contracts, and risk management. Manufacturing industry experience, particularly within capital equipment and contracts, is highly desirable.

Job Responsibilities:

- Provide strategic legal counsel to senior management on a variety of matters, including contracts, compliance, intellectual property, employment, and regulatory issues.
- Oversee the company’s corporate governance framework, ensuring adherence to internal policies and external regulatory requirements.
- Draft, review, and negotiate a wide range of commercial contracts, including vendor agreements, supply contracts, customer agreements, and licensing arrangements.
- Identify and mitigate legal risks by implementing robust risk management practices across the organization.
- Manage legal aspects of mergers, acquisitions, joint ventures, and other strategic initiatives.
- Coordinate with external legal counsel as needed to address litigation, specialized legal matters, and complex transactions.
- Ensure compliance with international trade regulations, industry standards, and government contracts.
- Collaborate with internal departments, including Finance, HR, Operations, and Supply Chain, to address cross-functional legal matters.
- Develop and implement legal policies, processes, and training programs to enhance awareness and ensure compliance across the organization.
- Monitor changes in laws and regulations affecting the company and advise on necessary adjustments to practices and policies.
- Lead and mentor junior legal staff to develop their skills and enhance the overall effectiveness of the legal team.

Education and Experience Information:

- Juris Doctor (JD) degree from an accredited law school and admission to the state bar.
- 10+ years of legal experience, with a combination of in-house and law firm experience preferred.
- Experience in the manufacturing, capital equipment, or industrial sector is a strong plus.
- Expertise in contract law, corporate governance, compliance, and risk management.
- Strong understanding of regulatory frameworks, including environmental, labor, and trade laws.
- Excellent negotiation, problem-solving, and analytical skills.
- Ability to manage complex legal matters while providing practical and strategic legal solutions.
- Strong leadership and communication skills, with the ability to influence and collaborate at all organizational levels.
- Proficiency in managing external legal counsel and controlling legal budgets.
